2. Services Description

Syncminds LLC provides software development, DevOps, cloud infrastructure, SaaS solutions, AI-powered systems, technical consulting, and related technology services. The specific scope, deliverables, and terms of any engagement will be defined in a separate service agreement or statement of work.

3. Use of Website

You agree to use our website only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the website in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the website or its systems

4. Service Engagements

For custom software development, consulting, and other professional services:

• All engagements are governed by a separate service agreement that defines scope, timeline, pricing, and deliverables.
• Work begins only after mutual agreement on project terms and receipt of any required deposits or payments.
• Changes to project scope may require additional time and cost adjustments.
• Client is responsible for providing necessary access, information, and timely feedback.

5. SaaS and Digital Products

For software-as-a-service products and digital products we provide:

• Access is granted on a subscription or license basis as specified in the product terms.
• We reserve the right to modify, suspend, or discontinue services with reasonable notice when possible.
• Users are responsible for maintaining the confidentiality of their account credentials.
• Prohibited uses include any illegal activity, abuse of the service, or violation of third-party rights.

6. Intellectual Property

Unless otherwise specified in a service agreement, Syncminds LLC retains ownership of all pre-existing intellectual property, tools, frameworks, and methodologies. Client-specific deliverables and intellectual property rights will be defined in the applicable service agreement.

7. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as necessary to perform services, as required by law, or with client consent. Clients agree to keep confidential any proprietary information shared by Syncminds LLC.

8. Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may be subject to interest charges and service suspension.

9. Limitation of Liability

To the maximum extent permitted by law, Syncminds LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the fees paid by you for the services giving rise to such claim.

10. Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied, except as explicitly stated in a service agreement. We do not warrant that services will be uninterrupted, error-free, or meet all of your requirements.

11. Indemnification

You agree to indemnify and hold harmless Syncminds LLC, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

12. Termination

We may terminate or suspend access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Termination of service engagements is governed by the applicable service agreement.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
